Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services (collectively, the “Services”) provided by Prisca Labs LLC (“prisca,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Acceptance of Terms
By creating an account, joining a waitlist, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Eligibility
You must be at least the age of majority in your jurisdiction to use the Services. By using the Services, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.
3. Accounts and Registration
You may need to create an account to use certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account.
4. Acceptable Use
You agree not to misuse the Services. Among other things, you may not:
- Violate any applicable law or regulation, or infringe the rights of others;
- Upload or transmit harmful, harassing, hateful, or unlawful content;
- Attempt to gain unauthorized access to the Services or related systems;
- Interfere with or disrupt the integrity or performance of the Services;

5. User Content
You retain ownership of any content you submit, post, or display through the Services (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content solely as necessary to operate and provide the Services. You are solely responsible for your User Content and the consequences of sharing it.
6. Intellectual Property
The Services, including all software, text, graphics, logos, and trademarks (excluding User Content), are owned by or licensed to Prisca Labs LLC and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Services.

The Services may contain links to or integrations with third-party websites and services that we do not control. We are not responsible for the content, policies, or practices of any third party, and your use of them is at your own risk and subject to their terms.
8. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
9. Limitation of Liability
To the maximum extent permitted by law, Prisca Labs LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Services. Our total liability for any claim arising out of these Terms or the Services will not exceed the greater of the amount you paid us in the twelve months preceding the claim or one hundred U.S. dollars (USD $100).
10. Indemnification
You agree to indemnify and hold harmless Prisca Labs LLC and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your User Content, or your violation of these Terms.
11. Termination
We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will survive.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Illinois for the resolution of any disputes.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
